The third edition of Corporate Governance is a thoroughly revised volume that will allow those teaching in the area to offer a highly current and topical course. In what is proving to be a rapidly developing area of law, the new edition has been thoroughly updated to reflect changes in the governance requirements set out by Delaware and the Delaware courts, and the Securities and Exchange Commission. In addition to traditional topics such as the role of shareholders and the board of directors, the new edition examines the developing law with respect to gatekeepers, particularly lawyers, auditors, and financial advisors; includes a new chapter on environmental, social, and governance (ESG) matters; and asks about the future implications of ongoing developments, such as the increased role of the SEC in the substantive regulation of governance, the implications of increasingly concentrated ownership patterns with respect to large public companies, and the role of unconscious bias in the development of corporate governance.

This edition has chapters devoted to particular topics, including executive compensation, the role of disclosure, and activist shareholders.
