This book explains the legal principles and drafting concerns governing the licensing and assignment of intellectual property, including patents, trademarks, copyrights and trade secrets. Legal issues covered include both the law and regulation of intellectual property, as well as contract, commercial, antitrust, and tax law issues, among others. Also discussed are principles of license drafting, including the scope of proper granting clauses, exclusive versus non-exclusive licenses, limitations on patent license durations, confidentiality provisions, and representations and warranties.
